Terms of Use

Last updated: August 26, 2026. These terms govern hugeutilitykit.com, xrp.mba, related pages, waitlists, and any NFT or membership we offer. If you do not agree, do not use the sites and do not buy or mint.

1. Who we are

Huge Utility KIT and XRP.MBA are early-stage projects operated from the United States. In these terms, “we,” “us,” and “our” mean the operator of those sites. “You” means any visitor, waitlist signup, NFT holder, or member. We are not a bank, broker, investment adviser, law firm, school, or licensed escrow company.

2. This is a work in progress

Everything you see on our sites is a plan, a catalog, and a preview. It is not a finished product. Tools, pages, community spaces, templates, workshops, dashboards, escrow, education modules, partner discounts, and other items listed as coming soon are ideas we intend to build. They are not promised, dated, or guaranteed.

We may delay, change, shrink, combine, or cancel any feature. We may never ship a listed item. Buying an NFT, joining a waitlist, or following us does not reserve a finished product and does not create a duty for us to deliver any specific tool on any date.

3. Community and engagement

What we build, and how fast we build it, depends on real use: waitlist size, NFT mints, member activity, feedback, and whether the community shows up. Low engagement can mean slower delivery, a smaller set of tools, or a pause. High engagement can mean we go further. That is not a promise of more value. It is how an early project decides where to spend time.

No refund, credit, or extra NFT is owed if a feature is late, smaller than described, or never released.

4. Forward-looking statements

Words like “coming,” “will,” “lifetime,” “network,” “academy,” and similar language are hopes and direction, not contracts to perform. Pictures, catalogs, and social posts are marketing. They can show more than exists today. If a picture and these terms disagree, these terms win.

5. NFT, membership, and “lifetime access”

If we mint a Huge Utility KIT NFT on the XRP Ledger (including through xrp.cafe), it is a digital collectible and a possible access badge for a future member area. It is not stock, equity, a share of profits, a note, a deposit, or a security. It is not legal tender. It does not give you ownership of our sites, brand, or company.

“Lifetime access” means: if we are operating a member product, and if we still recognize that NFT as a pass, we do not plan to charge that holder the monthly XRP membership fee. It does not mean the product will exist for your lifetime, that every listed tool will exist, that we cannot change rules, or that we must keep servers, community chats, or support running forever. If we shut down, pause, or replace the product, the NFT remains a ledger item you control. It does not require us to keep a service attached to it.

Mint price, supply, and marketplace fees are set at mint and by the marketplace. Blockchain fees and XRP price moves are yours. We do not control the XRP Ledger, xrp.cafe, wallets, or third-party bridges.

6. Not an investment and no advice

Nothing on our sites is an offer to sell a security. Nothing is investment, tax, legal, or accounting advice. XRP and NFTs can go to zero. You can lose the entire amount you spend. Do not mint or pay if you cannot afford to lose that amount. Past talk of utility is not a forecast of price.

7. Waitlist and emails

If you leave an email, we may write when doors open or when something material changes. We do not sell your address. You can ask us to stop. Waitlist signup is not a purchase and not a reservation of an NFT.

8. Your conduct

You will not use the sites to break the law, harass anyone, spam, hack, scrape in a way that harms the service, or pretend to be us. We can refuse service, ignore a wallet, or deny a future login if we reasonably believe you are abusing the project.

9. Third parties

Wallets, XRP.cafe, Discord, Telegram, hosting, and other vendors are not us. Their terms apply. We are not liable for their outages, hacks, or policy changes.

10. Intellectual property

The sites, names Huge Utility KIT and XRP.MBA, and our artwork are ours or used with permission. Buying an NFT does not transfer the copyright in the art except a personal right to hold, display, and resell that token. You may not copy the catalog, clone the project, or use our marks to imply we endorse you.

11. As-is and limitation of liability

THE SITES AND ANY NFT OR MEMBERSHIP ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE, OR THAT ANY FEATURE WILL LAUNCH.

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST VALUE OF XRP OR NFTS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITES, AN NFT, OR A MEMBERSHIP IS CAPPED AT THE LESSER OF (A) THE AMOUNT YOU PAID DIRECTLY TO US IN THE 90 DAYS BEFORE THE CLAIM, OR (B) 100 U.S. DOLLARS. MARKETPLACE FEES PAID TO OTHERS DO NOT COUNT AS PAID TO US. SOME STATES DO NOT ALLOW SOME LIMITS. IN THOSE STATES OUR LIABILITY IS LIMITED TO THE MAXIMUM THE LAW ALLOWS.

12. Indemnity

You will defend and indemnify us and our operators against claims that arise from your use of the sites, your wallet, your mint, or your breach of these terms, except to the extent we caused the claim by our own willful misconduct.

13. Changes

We can update these terms by posting a new version with a new date. Continued use after that date is acceptance. If you minted an NFT, new terms apply to the service going forward. They do not rewrite the chain.

14. Governing law

These terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law rules. Courts in Michigan have exclusive jurisdiction, except that we may seek injunctive relief anywhere to stop misuse of our marks or sites. If a court strikes one clause, the rest stay in force.
